Terms and Conditions

Overview
  • A successful referral (“Referral”) is defined as a referred customer who purchases PsycApps services with a minimum order value of £5000 ex VAT.
  • Referrals must be made via the official referral link or other methods approved by PsycApps.
  • Referrals are considered successful when the referred customer completes payment of the initial invoice and all invoices related to the purchase are paid in full.
Commission Structure

  • Referral Commission: A commission of 5% will be paid for the introduction of eQuoo or the Resilience Training Programme, provided the introduction results in a contractual sale with a minimum total value of £5,000 (exclusive of VAT).
  • End-to-End Sales Commission: A commission of 10% will be paid for completing the full sales process of eQuoo or the Resilience Training Programme, provided the total contractual sale value is a minimum of £5,000 (exclusive of VAT).
  • Payment Schedule: Commission will be disbursed to the referring party 30 days effectively on receipt of invoice payment by PsycApps LTD .

PsycApps reserves the right to adjust the tiered structure at its discretion.

2. Payment of Commission

  • Commission payments will be processed within 30 days after PsycApps receives full payment from the referred customer.
  • Payments will be made via bank transfer or another agreed-upon method. Affiliates are responsible for providing accurate payment details.
  • Affiliates are responsible for any tax liabilities arising from commission payments.

3. Programme Limitations

  • PsycApps reserves the right to reject any Referral that does not meet the criteria or violates these Terms.
  • Affiliates may not refer themselves or their own business as a qualifying Referral.
  • The Programme is intended for use by approved Affiliates only. Any unauthorised use of the Programme may result in disqualification.

4. Modification and Termination

  • PsycApps reserves the right to modify, suspend, or terminate the Programme or these Terms at any time, with or without notice.
  • In the event of termination, commission payments due for previously approved Referrals will be honoured.

5. Confidentiality

  • Affiliates must maintain the confidentiality of any non-public information obtained through participation in the Programme.
  • Any materials, tools, or data provided by PsycApps to the Affiliate must not be disclosed to third parties without prior written consent.

6. Limitation of Liability

  • PsycApps shall not be liable for any indirect, special, or consequential damages arising in connection with the Programme.
  • PsycApps’ total liability, whether in contract, tort or otherwise, will not exceed the total amount of commission payable to the Affiliate.

7. Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Introduction to Referral Programme

  • The PsycApps Referral Programme (“Programme”) is designed to reward current customers and partners for referring new schools or organisations (“Referrals”) to use PsycApps’ services, including the eQuoo app and the Resilience Training Programme (“RTP”).
  • By participating in the Programme, participants (“Referrers”) agree to abide by these Terms and Conditions.

1. Eligibility

  • Referral Programme: This programme is open to existing PsycApps customers who are satisfied with the services and wish to refer to other organisations that may benefit from our offerings.
  • Employees of PsycApps and their immediate family members are not eligible to participate.

 

2. Definitions

  • A “Successful Referral” is defined as:
    • An organisation that has not previously purchased or been invoiced for PsycApps services.
    • The referred organisation completes the purchase and full payment of the invoice for PsycApps services within 90 days of the referral submission.
  • “Free RTP Licences” are licences provided for the Resilience Training Programme that can be assigned to users at the Referrer’s organisation for a duration agreed upon by PsycApps.

3. Referral Submission Process

  • Referrers must submit referral details via the official referral form provided by PsycApps or via the designated contact at PsycApps.
  • The referred organisation must acknowledge the Referrer when contacted by PsycApps to confirm the referral.

4. Referral Validation and Payment

  • PsycApps will validate all referrals and determine if they qualify as a Successful Referral based on the criteria outlined in Section 1.
  • Commissions will be paid within 30 days after PsycApps receive the referred organisation’s full payment of the invoice.
  • The payment method and any applicable tax deductions will be discussed with the Referrer before payment is made.

5. Programme Limitations

  • There is no limit to the number of referrals a participant can make; however, PsycApps reserves the right to disqualify any referral that appears to be fraudulent, speculative, or in violation of these Terms and Conditions.

6. Confidentiality and Data Protection

  • PsycApps will handle all personal data provided in accordance with its Privacy Policy. Referrers must not share any sensitive information about their referrals without prior consent from PsycApps LTD.
Referral Confirmation
  • To qualify for the referral program benefits, the referred party must confirm that they were introduced to eQuoo by the referrer at the time of registration. This confirmation must be provided through the designated referral process or as otherwise instructed by eQuoo.

  • Validation of Referrals
    eQuoo reserves the right to validate all referral claims. If the referred party does not provide confirmation of the introduction, the referral will not be considered valid, and any associated rewards will be forfeited.

  • Reward Distribution
    Upon successful validation of the referral, the referrer will receive their respective rewards as outlined in the program’s commission structure.

  • Fraudulent Activity
    Any fraudulent or abusive actions, including but not limited to creating false accounts or misrepresenting the referral process, will result in disqualification from the programme.
